SPECD Build & Payment Agreement

This Build & Payment Agreement (the "Agreement") applies when a vehicle owner ("you," "Owner") accepts a shop's bid on the SPECD marketplace. It supplements, and is part of, the Terms of Service, the Refund & Billing Policy, and the Automotive Disclaimer. Capitalized terms not defined here have the meaning given in the Terms of Service. If you do not agree, do not accept a bid.

1. What accepting a bid does

When you tap Accept on a shop's bid and confirm, two things happen:

  • Parts. SPECD sells and supplies the parts on your build sheet. SPECD ships them to the Shop as your plan funds each phase, under the Shipping & Returns Policy.
  • Installation. You enter a **binding agreement directly between you and that shop (the "Shop**") for the Shop to perform the installation work described in your build sheet, at the Shop's accepted labor bid.

Your payment plan covers both: the parts total shown on your build sheet plus the accepted labor bid, on the payment schedule shown to you at acceptance. SPECD records the accepted amount, the Shop, the date and time, and your IP address as evidence of this agreement.

2. SPECD's role — and what it is not

SPECD operates the marketplace and payment tooling and is the seller of the parts on your build sheet. SPECD is not the Shop, is not a contractor, and is not a party to the installation agreement between you and the Shop. SPECD does not perform, supervise, guarantee, warrant, or insure any installation work, timeline, or result. Any contract, warranty, dispute, refund, or claim arising from the installation work is between you and the Shop; claims about the parts themselves (shipping, defects, returns) are handled by SPECD under the Shipping & Returns Policy. You are responsible for independently vetting the Shop (licensing, insurance, reviews, and suitability) before and after accepting.

3. Your payment obligation

  • Amount. You agree to pay the plan total: your build sheet's parts total plus the Shop's accepted labor bid. Each charge is a single payment to SPECD; SPECD passes the Shop its labor share automatically. This total does not change if you later add or remove parts unless agreed separately.
  • Schedule. Payment is collected as a down payment plus monthly installments on the layaway schedule shown at acceptance. By completing the guided first charge you authorize SPECD's payment processor to store your card and charge each remaining installment automatically ("autopay") until the total is paid, unless you turn autopay off.
  • Platform fee. SPECD charges a platform fee (currently 7%) that is included in the amounts processed; the Shop receives the amount net of that fee and of the processor's card-processing fees. Your total does not increase because of the platform fee.
  • Processor. Payments are processed by a third-party processor (Stripe) on the Shop's connected account. SPECD does not hold your funds and does not store full card numbers.

4. Missed payments move your schedule

If a scheduled payment is not collected by its due date (for example, a card is declined), your build's remaining schedule — both future payments and the Shop's drop-off dates for work not yet completed — moves one month later for each missed cycle. Work the Shop has already marked completed keeps its date. This protects the Shop's ability to plan parts and labor. Repeatedly missed payments may, at the Shop's discretion and consistent with the Refund & Billing Policy, lead the Shop to pause or stop work. Amounts already paid for work performed are generally non-refundable except as required by law or as the Shop agrees.

5. Scheduling changes

The Shop may propose a new drop-off date for a phase; that change takes effect only if you accept it in the app. You and the Shop are responsible for coordinating vehicle drop-off, pickup, and access.

6. Cancellation and disputes

Because accepting forms a real commitment that leads the Shop to order parts and reserve labor, you should be certain before accepting. Cancellations, refunds, and disputes are handled between you and the Shop and are governed by the Refund & Billing Policy, the Shop's own terms, and applicable law. SPECD may, but is not obligated to, help facilitate communication.

7. Disclaimers and limits

The Automotive Disclaimer, and the disclaimer, limitation-of-liability, and dispute-resolution/arbitration sections of the Terms of Service, apply to this Agreement and are incorporated by reference. To the maximum extent permitted by law, SPECD is not liable for the Shop's acts, omissions, work, parts, delays, or any dispute between you and the Shop.

8. Changes

We may update this Agreement; the version in effect when you accept a bid governs that acceptance. Material changes apply to acceptances made after they take effect.
